1. INTRODUCTION AND ACCEPTANCE

These Terms of Use ("Terms") govern your access to and use of the House Made Ready platform, website (www.housemadeready.co.uk), and services (collectively, the "Service"). House Made Ready is a trading name of HMR Limited (Company No: 16933702), a company registered in England and Wales.

By accessing or using our Service, you agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree to these Terms, you must not use our Service.

2. DEFINITIONS

• "User" means any individual or entity accessing the Service, including Homeowners, Buyers, Estate Agents, Trades, and Professional Users.
• "Business User" means Estate Agents, Trades & Suppliers, Strategic Professionals, or Developers who subscribe to paid services.
• "Free User" means Homeowners and Buyers accessing complimentary Property Intelligence Reports.
• "Lead" means personal data and property information submitted by Free Users that may be shared with Business Users in accordance with Section 7.
• "Digital Content" means AI-generated reports, architectural drawings, PDR analysis, marketing materials, and other digital deliverables provided through the Service.
• "Promotional Terms" means special pricing arrangements, early adopter programs, or custom agreements that may supersede standard subscription pricing.

3. SERVICE DESCRIPTION

3.1 Free Services (Homeowners & Buyers)

We provide free Property Intelligence Reports including:

• Permitted development rights analysis
• Article 4 restrictions and conservation area limits
• Extension and conversion feasibility assessments
• AI-powered property scorecards delivered in approximately 60 seconds

3.2 Paid Services (Business Users)

Credits System:

Credits are the platform currency used to unlock scorecards, reports and tools. Creating a scorecard on your own property costs 1 credit; accessing a scorecard created by someone else costs 2 credits. One-off report fees (see 3.4) are charged separately and do not consume credits. Credit top-up packs are available at £10 per credit individually, £9.50 per credit when buying 5, and £9 per credit when buying 10.

Estate Agent Subscriptions & AI Suite:

• Lite Tier: £149/month — includes 5 credits/month, access to AI marketing suite (Maggie), chain repair, nurture leads, warm lead access, listing analysis and architectural report tools
• Pro Tier: £495/month — includes 10 credits/month with 2-month rollover (capped at 30 credits) and enhanced tool access
• Enterprise Tier: includes 20 credits/month and white-label reporting options
• Founders Tier: limited early-adopter subscription with priority access and enhanced credit allowance, granted at our discretion
• Annual billing offers a saving versus monthly billing (approximately 10% on Lite, 20% on Pro)
• New estate agent accounts receive 5 welcome credits on registration

Developer & Professional Subscriptions:

• Pay-Per-Project: no monthly subscription — 3 welcome credits on registration, top up as needed
• Pro Tier: £149/month — includes 10 credits/month with 2-month rollover (capped at 30 credits); access to all sell and develop-and-sell scorecards
• Developer Tier: £249/month — includes 20 credits/month and white-label reporting options
• Annual billing available with a saving versus monthly billing
• Tools include: property analysis, ROI projections, deal-finding, architectural insight packs, investor reports, professional packs, HMO feasibility checks, CRM, pipeline management and staging report tools

Trade & Professional Services:

• Lead generation and matching services (pricing available on application)
• New trade and professional pay-per-project accounts receive 3 welcome credits on registration

3.3 One-Off Report & Drawing Fees

The following homeowner-facing reports and services are charged as one-off fees (not credit-based):

• Full Scorecard Report: £39.95
• Strategic Staging Report: £39.95
• Architectural Insight Pack: £49.95
• Architectural Concept Sketches: £195 (non-refundable once work has commenced)
• Measured Survey (professional site visit): £550

Financial ROI projections are provided using HM Land Registry data. Where these fees change, the current pricing shown at the point of purchase in the platform prevails over the figures listed here.

3.4 Promotional Coupons and Discount Terms

Standard pricing may be modified by promotional coupons or discount codes communicated in writing, including:

• Percentage or fixed-amount discounts on subscription fees
• Introductory reduced-rate periods
• Custom pricing schedules for partnership agreements

Where promotional coupons or discount terms apply, they will be set out in a separate Order Form or Agreement that supplements these Terms. In case of conflict, the specific Promotional Terms shall prevail over standard pricing listed in Sections 3.2 and 3.3.

5. USER ACCOUNTS AND REGISTRATION

5.1 Account Creation

To access certain features, you must create an account providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities occurring under your account
• Notifying us immediately of any unauthorized access

5.2 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our Service.

5.3 Business User Verification

Business Users may be required to provide:

• Proof of professional registration or licensing
• Business insurance documentation
• VAT registration details
• Identity verification

6. DATA PROTECTION AND GDPR COMPLIANCE

6.1 Data Controller and Processor Relationship

For Free Users (Homeowners & Buyers):

House Made Ready acts as Data Controller for information you provide when generating Property Intelligence Reports.

For Business Users (Estate Agents, Developers, Trades & Professionals):

When you receive Leads from our platform, and when you use our CRM, pipeline and chain-repair tools to store information about your own clients, contacts, deals and chain parties, House Made Ready acts as a Data Processor on your behalf. You remain the Data Controller and are responsible for the lawful processing of that data.

As a Business User you warrant and undertake that you will:

• Establish a valid lawful basis (consent or legitimate interests) before entering any individual's personal data into the platform
• Provide those individuals with an appropriate privacy notice
• Not enter special-category data (health, ethnicity, religion, sexual orientation, biometric or criminal-conviction data) into the platform
• Keep contact data accurate, minimise what you store, and delete records you no longer need
• Respond to data-subject requests from your own contacts within the statutory one-month period, and notify us at privacy@housemadeready.co.uk where we need to action deletion or rectification on your behalf
• Ensure any team members you invite have a legitimate need to access the data and remove their access promptly when they leave
• Only send marketing communications to contacts who have not opted out, and honour opt-outs immediately

A Data Processing Agreement (DPA) reflecting this relationship is available from privacy@housemadeready.co.uk and is incorporated by reference into these Terms. House Made Ready processes Business User contact data only on your documented instructions and in accordance with the DPA.

6.2 Lead Sharing and Granular Consent

When Free Users generate Property Intelligence Reports, we employ a clear, two-stage consent process:

• Mandatory Consent: Users must consent to our processing their data to generate their report (required for Service delivery)
• Optional Consent (Unticked by Default): Users may separately consent to sharing their property information with local Estate Agents, Trades & Suppliers, or Strategic Professionals

Users can withdraw consent at any time via their account dashboard or by emailing privacy@housemadeready.co.uk

6.3 Your Rights Under UK GDPR

You have the right to:

• Access your personal data
• Rectify inaccurate data
• Request erasure ("right to be forgotten")
• Restrict processing
• Data portability
• Object to processing for direct marketing
• Withdraw consent at any time

7. COOKIES AND TRACKING TECHNOLOGIES

We use cookies and similar technologies to provide and improve our Service. Our use of cookies is governed by our separate Cookie Policy, which includes:

• Strictly necessary cookies (e.g., session management)
• Analytics cookies (e.g., Google Analytics)
• Third-party service cookies (e.g., Stripe for payment processing)

8. PAYMENT TERMS AND SUBSCRIPTIONS

8.1 Business User Subscriptions

• Subscriptions are billed monthly in advance via Stripe
• Prices are exclusive of VAT unless otherwise stated
• Promotional coupons or discount codes may override standard pricing with written confirmation
• Automatic renewal unless cancelled with 30 days' notice

8.2 One-Time Reports & Drawings

One-off reports and drawings (see Section 3.3 for current fees) are payable upfront via Stripe:

• Payment constitutes commencement of bespoke digital content creation
• Non-refundable once work has commenced (see Section 9.3)
• By purchasing, you expressly request immediate supply of the Digital Content

8.3 Failed Payments

If payment fails:

• We will attempt re-collection for 7 days
• Access to Business User features will be suspended
• Account may be terminated after 14 days of non-payment

9. CANCELLATION, REFUNDS, AND CONSUMER RIGHTS

9.1 Free Services

Free Users may delete their accounts at any time. We will retain data only as required by law or legitimate business interests.

9.2 Business User Subscription Cancellation

• 30 days' written notice required (email to support@housemadeready.co.uk)
• No refunds for partial months
• Access continues until end of paid period

9.3 Digital Content Services (Consumer Rights Waiver)

Under the Consumer Contracts Regulations 2013, consumers ordinarily have a 14-day "cooling off" period. However, where we offer immediate Digital Content and you request immediate supply:

• You expressly request that we begin supplying the Digital Content immediately upon payment
• You acknowledge the Service involves bespoke digital content created for your property
• You agree that your 14-day cancellation right is lost once report generation/work commences

Refunds will only be provided if we fail to deliver within the agreed timeframe or technical errors prevent generation due to our system failures.

10. INTELLECTUAL PROPERTY RIGHTS

10.1 Our IP

All content, software, algorithms, trademarks, and materials on the Service are owned by or licensed to House Made Ready and protected by UK and international intellectual property laws.

10.2 License to Use Reports

Upon payment or generation, you receive a non-exclusive, non-transferable license to use Digital Content for:

• Personal property decisions (Free Users)
• Client marketing and sales activities (Business Users)
• Internal business purposes

You may not:

• Resell or sublicense our Digital Content
• Reverse-engineer our AI algorithms or proprietary scoring methodologies
• Remove watermarks or attribution
• Use our data to create competing services

10.3 User-Generated Content

If you submit property photos, descriptions, or other content, you grant us a worldwide, royalty-free license to use, display, and process such content to provide the Service.

11. DISPUTE RESOLUTION AND COMPLAINTS PROCEDURE

11.1 Internal Complaints Procedure

Email complaints@housemadeready.co.uk with:

• Your account details and reference number
• Description of the issue
• Your desired resolution

We will acknowledge within 2 business days and provide a resolution within 10 business days.

11.2 Alternative Dispute Resolution

For Consumer Users, you may refer complaints to:

• The Property Ombudsman (TPO): www.tpos.co.uk
• Centre for Effective Dispute Resolution (CEDR): www.cedr.com

11.3 Limitation of Liability

We do not exclude liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded under UK law

For Business Users, our total liability is limited to the total fees paid by you in the 12 months preceding the claim.

11.4 Third-Party Disputes

House Made Ready is a technology platform. Where you engage Third-Party Providers through our Service, any contract is between you and that provider. We do not mediate disputes relating to workmanship, fees, quality, or guarantees.

12. PROHIBITED USES

You must not:

• Violate any applicable laws or regulations
• Infringe intellectual property rights
• Submit false, misleading, or fraudulent information
• Use automated bots or scrapers to access the Service
• Attempt to hack, disrupt, or reverse-engineer our systems
• Harass, abuse, or spam other users
• Share Leads with unauthorized third parties (Business Users)

Violation may result in immediate account suspension or termination and potential legal action.

13. DATA RETENTION AND ACCOUNT DELETION

To delete your account, email privacy@housemadeready.co.uk. We will:

• Delete personal data within 30 days
• Retain transactional records for 7 years (UK tax law requirement)
• Retain anonymized analytics data indefinitely

14. CHANGES TO THESE TERMS

We may update these Terms to reflect changes in law, new features, or operational improvements. Material changes will be notified via email 30 days before taking effect. Continued use after changes constitutes acceptance.

15. TERMINATION

15.1 Termination by You

You may terminate by:

• Deleting your account (Free Users)
• Providing 30 days' notice (Business Users)

15.2 Termination by Us

We may suspend or terminate your account immediately if:

• You breach these Terms
• We suspect fraudulent activity
• Required by law
• You fail to pay undisputed fees for 14 days

16. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of England and Wales.

For Consumer Users: Nothing affects your statutory rights. You may bring proceedings in your country of residence.

For Business Users: Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.

17. SEVERABILITY

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

18. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and House Made Ready regarding the Service.
